Shop Agreement
This Shop Agreement is between [Company legal name], a California limited liability company ("we") and the business that claims or manages a listing on Coffee Map ("Shop"). By claiming a listing or turning on ordering, the person accepting confirms they're authorized to bind the Shop.
1. Your listing
You confirm you have authority to manage this business's listing and grant us a non-exclusive license to display your business name, logo, photos, menu and hours on the Service and in related marketing. You're responsible for keeping your information accurate.
2. Your responsibilities
You are solely responsible for your food and drinks, food safety, permits and health inspections, allergen and ingredient information, accurate prices, sales tax collection and remittance, paying tips in full to your staff (California Labor Code section 351), and for refunds and customer service on your orders.
3. Payments and fees
Customer payments are processed through your own payment processor account (for example, Square) and settle to you. Our fee is [$0.25 per drink, capped at $2.00 per order], collected through your processor as an application fee on each paid order. We never charge fees to your customers and never take a fee on tips. If an order is fully refunded, our fee for it is refunded too. Billing details for other register systems will be added before they're offered.
4. Orders
You choose your order settings, including automatic or manual acceptance and any order controls. Orders not accepted within the time shown in your dashboard are automatically canceled and refunded. You agree not to sell alcohol through the Service.
5. Data
You get your own page and order statistics. We may use order and search data to create area-wide insights that are combined across shops so no individual shop or customer can be identified. Customer contact details are shared with you only for fulfilling orders, or where the customer has opted in.
6. Term and cancellation
Either side may end this agreement at any time. You can turn off ordering or disconnect your processor in your dashboard. Orders already placed must still be fulfilled or refunded. Your public listing may remain as an unclaimed directory listing using public information unless you ask us to remove it.
7. Disclaimers and liability
The Service is provided "as is." To the fullest extent allowed by law, our total liability to you is limited to the fees you paid us in the three months before the claim. [Attorney to confirm.] You agree to indemnify us for claims arising from your products, your staff or your breach of this agreement.
8. General
California law governs. [Dispute resolution terms for attorney review.] We may update this agreement with notice; continuing to use the Service after notice means you accept the update.
